 Foresight VCT plc (the "Company") announces that it has today posted a
circular to Shareholders (the "Circular") and forms of proxy in relation to a
general meeting and class meetings of the Company in connection with the
proposed offer for subscription (the "Offer") announced on 18 January 2016. 
 
 The Circular contains, inter alia, an explanation of the resolutions required
to implement the Offer, a description of a proposed change to the Company's
articles of association and notice of a General Meeting and Class Meetings
which will be held from 2.00 p.m. on 15 March 2016 at the offices of Foresight
Group LLP, The Shard, 32 London Bridge Street, London SE1 9SG.
