** New York Jets co-owner Robert Wood "Woody" Johnson has signed a binding agreement to buy Eagle Football Holding's stake in Crystal Palace, the Premier League club said on Monday

** U.S.-based private equity firm Warburg Pincus is in talks to sell its stake in State Bank of India's  general insurance unit, Bloomberg News reported on Monday, citing people familiar with the matter. nL4N3SQ0U8

** C&S Wholesale Grocers said on Monday it would buy fellow food distributor SpartanNash SPTN.O for $1.77 billion including debt, looking to expand its supply chain and keep grocery prices low as inflation concerns rise in the United States. nL4N3SQ0TR

** Formula One owner Liberty Media FWONA.O received unconditional clearance from EU regulators for its acquisition of Dorna Sports, which owns MotoGP. nP6N3QO01X

** Anthony Pompliano's crypto venture ProCap Financial will go public in the U.S. through a merger with blank-check vehicle Columbus Circle Capital Corp CCCM.O. nL4N3SQ0T9

 ** British healthcare real estate investor Assura  recommended rival Primary Health Properties'  new 1.79 billion pound ($2.4 billion) takeover bid, which trumps a lower offer from KKR  and Stonepeak Partners. nL6N3SQ09E

** Italian energy group Eni  has sold a 20% stake in its retail and renewables business Plenitude to U.S. alternative investment manager Ares Management Corp  for about 2 billion euros ($2.3 billion), it said. nL8N3SQ06Y

** Precision instruments maker Spectris  agreed to a 4.4 billion pound ($5.9 billion) debt-inclusive takeover deal by private equity firm Advent over a rival proposal from KKR , marking the biggest acquisition in Britain this year. nL4N3SQ0CX

 ** BBVA BBVA.MC could withdraw its offer for smaller rival Sabadell SABE.MC if conditions imposed by the Spanish government are too harsh, or if it were forced to accept the sale of Sabadell's British unit TSB. nL8N3SQ0OE

 ** Prosus PRX.AS is "very confident" of securing early EU antitrust approval for its 4.1-billion-euro ($4.72 billion) acquisition of Just Eat Takeaway.com TKWY.AS nL1N3SQ07D

** Northern Trust's NTRS.O shares rose 5% in premarket trading on Monday after a Wall Street Journal report said Bank of New York Mellon Corp BK.N had approached the asset and wealth manager recently to express interest in a merger with its smaller rival. nL1N3SP0AI

** Oversea-Chinese Banking Corp OCBC.SI on Monday said that it has no intention to make another offer to buy the rest of Great Eastern GELA.SI in the future in the event shareholders opted to not delist the insurer from the Singapore bourse. nL4N3SQ0LP

** Britain's Spectris SXS.L has agreed to be acquired by private equity firm Advent in a deal valued at about 4.4 billion pounds ($5.91 billion), including debt, the companies said on Monday. nL6N3SQ099
