Notification and public disclosure of transactions by persons discharging
managerial responsibilities and persons closely associated with them

Frasers Group plc (the "Company") has been notified by MASH Beta Ltd ("MASH
Beta"), a company through which Mike Ashley holds shares in the Company, that
MASH Beta has granted a pledge in favour of HSBC Private Bank over 26,561,540
Ordinary Shares in the Company, representing approximately 5.90% of the
Company's issued share capital (excluding shares held in treasury), as
security for any amounts which may be due from time to time under a
derivatives trading facility.  Mike Ashley remains the beneficial owner of
the Ordinary Shares subject to the pledge and retains full voting rights over
these shares.
