SPORTS DIRECT INTERNATIONAL PLC 
NOTIFICATION OF TRANSFER OF SHARES OUT OF TREASURY
Sports Direct International plc (the "Company") wishes to announce that on 23 August 2017, it transferred for nil consideration 12,782,512 ordinary shares of the Company of 10 pence each held by the Company in treasury (the "Treasury Shares") to the Sports Direct Employee Benefit Trust which will be used to satisfy awards held by participants under the Company's 2011 Bonus Share Scheme and the Executive Bonus Share Scheme.
As a consequence of that transfer, the Company now holds 98,350,831 Treasury Shares and its issued share capital (excluding Treasury Shares) consists of 542,251,538 ordinary shares.
The total voting rights figure (542,251,538) may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
