    * Says it plans to issue 1,322,780 shares of the company to 
merge 
with a PLC chip related software development firm  
    * Merger ratio is 1.0000000 : 0.3109155 between the company 
and 
the software firm  
    * The company will survive and the software firm will be 
dissolved 
after merger
