Completion of Acquisition, Directorate Change and Issue of Equity 
Further to its recent announcement regarding the Company's conditional acquisition of The Dunamis Group Limited, the Company is pleased to announce that the Acquisition has now completed.
Accordingly, the Company has allotted the 18,246,732 Consideration Shares to the vendors of Dunamis and an application has been made for them to be admitted to trading on AIM. Admission of the Placing Shares occurred earlier today and Admission of the Consideration Shares is expected to become effective on 6 February 2018. Following Admission, the Company will have 210,544,729 Ordinary Shares admitted to trading on AIM. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Fulcrum, under the FCA's Disclosure Guidance and Transparency Rules. The Company holds no shares in treasury.
Further to Completion, the Company announces that Wayne Hayes has been appointed to the Board with immediate effect.
Wayne Hayes (aged 55) currently holds or has previously held the following directorships in the past five years:

Following Admission of the Consideration Shares, Wayne Hayes will hold a total of 4,883,935 Ordinary Shares in Fulcrum. A further announcement will be released in due course in accordance with Article 19 of the EU Market Abuse Regulation 596/2014.
Save as disclosed above, there is no further information required to be disclosed pursuant to Schedule 2, paragraph (g) of the AIM Rules in relation to Wayne Hayes.
