Grant of Options under Replacement Incentive Schemes and PDMR Dealings
GetBusy plc (AIM: GETB) ("GetBusy" or "the Company" or "the Group"), a
developer of document management and communication software products,
announces that, further to the approval by shareholders at the General Meeting
on 7 January 2020, on 27 January 2020 it cancelled 4,452,326 existing options
over ordinary shares in the Company and subsequently granted, in aggregate,
6,593,705 replacement options over ordinary shares in the Company to Daniel
Rabie (Chief Executive Officer), Paul Haworth (Chief Financial Officer) and
Ben Oliver (Chief Technology Officer), as detailed below.
The options have been granted under the Company's EMI Share Option Plan and
Value Creation Plan (as defined in the circular ("Circular") to shareholders
dated 19 December 2019, referred to together as the "Replacement Incentive
Schemes"). The background to and rationale for the adoption of the
Replacement Incentive Schemes and details thereon can be found in the
Circular, which is available on the Company's website at
www.getbusy.com/about/investors.
Cancellation of options under existing schemes
The table below shows the number of options that were surrendered by the
participants and cancelled by the Company:

The options under the Replacement Incentive Schemes vest in accordance with
the rules of the EMI Share Option Plan and the Value Creation Plan, both of
which were summarised in the Appendix to the Circular, and collectively
represent 13.48% of the issued share capital of the Company.
It should be noted that the rules of the EMI Share Option Plan and the Value
Creation Plan both require that the total number of shares issued or issuable
under the Group's incentive plans may not exceed 15% of the Company's ordinary
share capital in any 10-year period.

Haworth and Ben Oliver in ordinary shares of the Company and in options over
ordinary shares of the Company:
