On 1 July 2021, Hilardo Limited transferred 21.99% of the shares in the issuer to Tevat Limited.

 

In consideration for the transfer, on 2 July 2021, Hilardo Limited was issued 500 Ordinary Shares and 48,629,464 Redeemable Preference Shares in Tevat Limited pursuant to the Amended and Restated Deed of Subscription and Gift dated 24 June 2021 between CPI Property Group S.A., Aroundtown SA, Aroundtown Real Estate Limited, Hilardo Limited, Tevat Limited and Zakiono Enterprises Limited. As a result, Aroundtown SA through its indirect subsidiary, Hilardo Limited, and CPI Property Group S.A. each hold 50 per cent. of the voting rights of Tevat Limited.

 

Therefore CPI Property Group S.A. no longer meets the requirements to be deemed a "parent undertaking" under the terms of DTR5. As such, while CPI Property Group S.A. has not disposed of any of its shares or voting rights in Globalworth Real Estate Investments Limited, for the purposes of the Disclosure and Transparency Rules it is no longer considered to hold any voting rights in Globalworth Real Estate Investments Limited and is providing this notification accordingly.

 

Mr. Radovan Vitek in turn holds 7,497,002,824 shares of CPI Property Group S.A., representing 93.59% of CPI Property Group S.A.'s shareholding.
