DIRECTORS' SHAREHOLDINGS

 

The Company received notification on 21(st) November 2023 of a number of
transactions in which Mr. M. S. Goodwin, Mr. S. R. Goodwin, Mr. B. R. E.
Goodwin and Mr. T. J. W. Goodwin are interested.

 

The following Executive Directors, Mr. M. S. Goodwin, Mr. S. R. Goodwin, Mr.
B. R. E. Goodwin and Mr. T. J. W. Goodwin are acting in concert with former
Executive Directors Mr. J. W. Goodwin and Mr R. S. Goodwin (and deemed to be
so).

 

Following these transactions, the total beneficial and non-beneficial holdings
of the concert party members who are current or previous Executive Directors
of the Company are as detailed below:

Details of Notifiable Transactions

 

On 20(th) November 2023 J. M. Securities Ltd., a company in which J. W.
Goodwin and R. S. Goodwin at the time of the transfer had a beneficial
interest, purchased a total of 55,196 ordinary shares in the capital of the
Company at the closing mid-market price of £51.15 per share from the
following persons:

 

M. S. Goodwin           10,724 shares

S. R. Goodwin            14,824 shares

B. R. E. Goodwin       14,824 shares

T. J. W. Goodwin       14,824 shares

 

Upon receipt of the above shares, J. M. Securities Ltd. sold its total holding
of 2,233,329 shares in the capital of the Company to its wholly owned
subsidiary, J. M. Securities (No. 3) Ltd. for a consideration of £10,345,077
satisfied by the issue to J.M. Securities Ltd. of 998 new fully paid ordinary
shares of £1 each in in the capital of J. M. Securities (No 3) Ltd.

 

The sale of shares to J. M. Securities Ltd. and J. M. Securities (No 3) Ltd.
took place off market.

 

Whilst the overall concert party holding remains the same and continue to act
in concert, as of the 21(st) November 2023 the control and voting ownership of
JM Securities Ltd has been transferred by J. W. Goodwin and R. S. Goodwin to
Mr. M. S. Goodwin, Mr. S. R. Goodwin, Mr. B. R. E. Goodwin and Mr. T. J. W.
Goodwin in equal proportions.
