NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS
In accordance with DTR 3, the Company was notified on 05 May 2026 that the following transactions, which relate to Grainger's Directors and PDMRS, took place in relation to the Company's share incentive plan (SIP) on 05 May 2026.
The SIP is an all-employee trust arrangement approved by HMRC, under which employees are able to buy ordinary shares of 5p each in Grainger, using deductions from their salary in each monthly pay period (partnership shares), and receive allocations of matching free ordinary shares (matching shares).
The SIP Trustees (Global Shares Trustees (UK) Limited) acquired a total of 5,312 partnership shares on 05 May 2026 at a price of £1.59 per ordinary share and total cost of £8,461.02. The partnership shares were acquired by purchase in the market and allocated to employees participating in the SIP, including the Directors and PDMRs detailed below.
On 05 May 2026, the SIP Trustees also allocated a total of 4,670 matching shares. The number of matching shares granted by the SIP Trustees to the Directors and PDMRs at nil cost is also set out in the table below.
