    GRAND CITY PROPERTIES S.A. ANNOUNCES SUCCESSFUL REFINANCING OF PERPETUAL
                      NOTES THROUGH PRO-ACTIVE TRANSACTION

   Luxembourg, December 9, 2025  – Grand City Properties  S.A. (“GCP” or  the
   “Company”)  successfully  completed  the  perpetual  notes  tender   offer
   announced last week (the “Tender Offer”). The accepted notes together with
   the envisioned exercise of  redemption options, is expected  to sum up  to
   €600 million. The Tender Offer is  on the back of the successful  issuance
   of €600 million perpetual notes issued on the 1^st of December 2025 with a
   coupon of 4.75%. 

   Through  this  transaction,  the  Company  is  replacing  perpetual  notes
   carrying higher coupon  rates. GCP expects  to replace approximately  €500
   million of higher  coupon notes,  imply annualized  perpetual note  coupon
   savings in the amount of approximately €7 million, making the  transaction
   FFO accretive and  supportive of  the Company’s credit  metrics under  S&P
   methodology.  In  addition,  the  Company  took  its  first  step  towards
   refinancing the €700 million 1.5% perpetual notes ahead of its first  call
   date in 2026 by completing a buyback of approximately €100 million of  the
   notes. Following the transaction, around €600 million of the €700  million
   perpetual note series remain outstanding.
