("The Gym Group" or the "Company")
TR-1: Standard form for notification of major holdings
On 21 July 2025, Blantyre Capital Limited on behalf of St Andrews Sarl, SICAV-RAIF and/or its affiliates ("Blantyre"), notified The Gym Group of the sale of a proportion of its shares in the Company via a secondary placing (the "Transaction"), resulting in a change to its shareholding and voting rights as stated in the table below. The offer was oversubscribed with shares having been placed with existing and new institutional and family office investors of the Company.
Following the Transaction, Blantyre will retain a significant shareholding in the Company. In connection with the Transaction, Blantyre has agreed to a lock-up undertaking in respect of its remaining shareholding in The Gym Group. This lock-up restricts the disposal of any further shares held by Blantyre for a period of 6 months following 15 July 2025, subject to customary exemptions and waiver provisions.
The Gym Group is not a party to nor will receive any proceeds from the Transaction.
