Notification of Transactions of Directors/Persons Discharging Managerial Responsibility
Halfords Group plc (the "Company") has granted an award of 122,130 shares to Jonny Mason (the "Award") under the Halfords Performance Share Plan 2015 (the "PSP").
Under the terms of the PSP the Award comprises a conditional award of shares that will vest in August 2018 provided that the Remuneration Committee (the "Committee") has assessed that the performance conditions, which are based on Group EBITDA Growth (75% of the Award) and Group Revenue Growth (25% of the Award), have been met. An underpin consisting of a net debt to EBITDA ratio will also be applied. 
The Award will be subject to dividend reinvestment, as directed by the Committee.
No consideration was paid for the grant of the above Award and no payment is due on release of any shares.
This notification is provided in accordance with DTR3.1.4R(1).
