 * Major transaction acquisition of the entire equity interest in Lucky Fountain Holdings Limited  
 * Purchaser and the vendor entered into the sale and purchase agreement 
 * Vendor has conditionally agreed to sell the sale share and the sale loan 
 * Deal for consideration of HK$235.7 million 
 * Will issue the promissory notes in principal amount of HK$215.7 million to vendor as part of the consideration upon completion
