On 10 December 2025, Hansa Investment Company Limited (the "Company") was
notified that Victualia Limited Partnership, a Director of the Company, had
acquired an interest in the ordinary share capital of the Company pursuant to
a court-sanctioned scheme of arrangement under section 99 of the Companies Act
between Ocean Wilsons Holdings Limited and its shareholders (the
"Scheme").Under the terms of the Scheme, holders of Ocean Wilsons Share:
1.4925 New Hansa Share Units (each comprising one voting New Hansa Ordinary
Share and two non-voting New Hansa 'A' Ordinary Shares) (the Exchange Ratio).

 This notification is made in accordance with the requirements of the Market
Abuse Regulation.
