Results of Annual General Meeting

 

Harworth Group plc (the "Company") announces that at its Annual General
Meeting held at 10.00 a.m. on Monday 19 May 2025 all resolutions in the Notice
of Annual General Meeting dated 15 April 2025 were passed by the necessary
majority on a show of hands.

Details of proxy voting instructions received in advance of the Annual General
Meeting are shown in the table below and will be posted on the Company's
website, www.harworthgroup.com (http://www.harworthgroup.com) .

The number of ordinary shares in issue on 19 May 2025 was 325,718,727 ordinary
shares.  A vote withheld is not a vote in law and is not counted in the
calculation of votes for or against a resolution.

 

Copies of all resolutions passed, other than resolutions concerning ordinary
business, have been submitted to the National Storage Mechanism.  They will
shortly be available for inspection at

While the Board is pleased that all resolutions were supported by a
significant majority of shareholders, Resolution 12 (to approve the Directors'
Remuneration Policy) was approved with a 75.67% majority. The Company has
actively engaged with shareholders over the last eight months in respect of
the proposed changes to the Directors' Remuneration Policy and incentive
structure and has a detailed understanding of shareholder views. The Company
will continue to engage with its shareholders on this matter and, in
accordance with the UK Corporate Governance Code, will publish an update
within six months.
