APPOINTMENT OF NON-EXECUTIVE DIRECTORS

Hays plc has today announced that Helen Cunningham will join the Board of Hays
as an independent Non-Executive Director with effect from 1 March 2024 and
Anthony Kirby will join the Board of Hays as an independent Non-Executive
Director with effect from 1 April 2024.

 

Commenting on the appointments, Andrew Martin, Chair of Hays, said: "I am
delighted to welcome Helen and Anthony to Hays. Helen is Chief Human Resources
Officer at Inchcape and brings extensive HR functional expertise to the Board.
Anthony is Chief Executive Officer, UK and Europe at Serco Group plc and has a
wealth of experience having previously held roles as Group Chief Operating
Officer and Group Chief HR Officer. I'm sure Helen and Anthony will make a
significant contribution to the Board and we look forward to them joining."

Notes:

 

   1.   The appointments of Helen Cunningham and Anthony Kirby were made by the
   Board on the recommendation of the Nomination Committee. The Committee
   conducted an extensive search and selection process for this appointment,
   using an external search firm. The external search firm provided a diverse
   list of candidates who were approached, evaluated and interviewed, against an
   agreed set of criteria aligned to the Board's target skills matrix.  The
   Board satisfied itself that Helen and Anthony had the experience and time
   available to carry out the role.

   2.   The Board has determined that Helen Cunningham and Anthony Kirby are
   independent Non-Executive Directors in accordance with the UK Corporate
   Governance Code.

   3.   Helen Cunningham and Anthony Kirby will receive the standard basic fee
   for a Non-Executive Director of £62,078 per annum.

   4.   There are no further disclosures to be made in respect of Helen
   Cunningham and Anthony Kirby appointment under Listing Rule 9.6.13R.
