Sub:     Order dated October 14, 2022 ("Order") passed by the Hon'ble
National Company Law Tribunal, Mumbai Bench, Mumbai ("NCLT") for inter alia
convening meeting of the equity shareholders of the Housing Development
Finance Corporation Limited ("HDFC Limited").

 

Ref:     Disclosure under Regulation 30, SEBI (Listing Obligations and
Disclosure Requirements) Regulations, 2015.

 

This is in connection with our letter dated August 6, 2022, informing that
HDFC Limited had e-filed a Joint Company Scheme Application with the NCLT in
relation to the proposed composite scheme of amalgamation ("Scheme") for the
amalgamation of: (i) HDFC Investments Limited and HDFC Holdings Limited,
wholly owned subsidiaries of HDFC Limited, with and into HDFC Limited, and
(ii) HDFC Limited with and into HDFC Bank Limited.

 

We would like to inform you that based on the said Joint Company Scheme
Application, HDFC Limited has received the Order today from the hon'ble NCLT,
directing HDFC Limited, to inter alia convene the meeting of its equity
shareholders through video conferencing, on Friday, November 25, 2022, at
11:00 a.m. (1100 hours) IST, for the purpose of considering and, if thought
fit, approving with or without modification(s) the arrangement embodied in the
Scheme.

 

The Order has been uploaded on the NCLT website today and is available at
