Exercise of share options / Transfer of treasury shares 
 
Headlam Group plc ('Headlam' or the 'Company') announces that on 9 May 2018 share options granted under each of the Headlam Group 2013 Savings Related Share Option Scheme at an option price of £2.74 per share, the Headlam Group 2014 Savings Related Share Option Scheme at an option price of £3.81 per share and the Headlam Group 2015 Savings Related Share Option Scheme at an option price of £3.40 per share were exercised early in accordance with good leaver provisions.
 
A total of 1,137 ordinary shares have been transferred from treasury stock for the purpose of the exercise of the share options.
Following the above transfer of treasury stock, Headlam held 511,193 ordinary shares as treasury shares. 
The total number of ordinary shares in issue (excluding shares held as treasury shares) is 84,852,550.  Therefore, the total number of voting rights in the Company is 84,852,550.
The above figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
