Board Update - Director Changes

Helios Towers plc (the "Company") today announces that with effect from 9
March 2022, David Wassong has resigned as a non-executive director of the
Company and has been replaced by Helis Zulijani-Boye, a Managing Director of
Newlight Partners LP with over 15 years' experience in the private equity and
investment banking industries.

These changes are made pursuant to the Shareholders Agreement entered into by
the Company and Newlight, along with other pre-IPO investors in the Company,
under which Newlight is entitled to appoint (and replace) a shareholder
representative as a director of the Company for such time as it continues to
hold more than 10% of the voting rights of the Company.

Commenting on the changes to the Board, Sir Sam Jonah, Chairman of Helios
Towers plc said today:

"On behalf of the Board, I would like to express my thanks to David for his
contribution to the success of the business. David has been a director since
the creation of Helios Towers in 2010, during which time the Company has grown
significantly and listed on the London Stock Exchange. We recognise the part
that David played in building the business. At the same time, we are delighted
to welcome Helis to the Board. She brings extensive experience which will
enhance the Board and we look forward to working with her."

This announcement is made in accordance with Listing Rule 9.6.11. There are no
further disclosures to be made pursuant to Listing Rule 9.6.13 in respect of
Helis Zulijani-Boye's appointment.
