EXTENSION OF LONG-STOP DATE REGARDING THE OMANTEL TOWER PORTFOLIO ACQUISITION
On 11 May 2021, Helios Towers Plc ("Helios Towers", the "Company"), the
independent telecommunications infrastructure company, announced that it had
agreed with Oman Telecommunications Company ("Omantel"), the largest mobile
network operator in Oman, to acquire Omantel's passive tower infrastructure
portfolio (the "Acquisition"), on the terms and subject to the conditions as
set out in the Acquisition Agreements (as summarised and defined in the
circular to shareholders dated 19 May 2021 (the "Circular")). As detailed in
the Circular, the Acquisition is conditional upon certain conditions being met
by the long-stop date for Completion, including approval from the
Telecommunications Regulatory Authority of Oman and other statutory
authorities in Oman, as may be applicable.
The Company and Omantel are continuing to work to satisfy the outstanding
conditions and have agreed to further extend the long-stop date for the
Acquisition from 12 July 2022 to 30 September 2022.
