Board changes

Hilton Food Group plc (the "Group" or "Hilton Foods") is pleased to announce
the appointments of Bindi Foyle and Samy Zekhout as Independent Non-Executive
Directors, with effect from 1 June 2025.
At the same time, the Group also announces that Sarah Perry will step down
from the Board at the end of May 2025 as she focuses on her expanded executive
role at Carlsberg Britvic. In addition, Angus Porter has informed the Board of
his intention to step down from the Hilton Foods Board with effect from the
Annual General Meeting in 2026. Over the next year, he will specifically focus
on employee engagement and support a smooth transition.
Bindi Foyle has considerable PLC experience, in both executive and
non-executive positions, and across geographies. Most recently she has been
Group Finance Director of Senior plc, a FTSE 250 international manufacturing
and engineering group. She also serves as the Senior Independent Director of
Avon Technologies plc, having joined the board in 2020. Bindi previously held
senior finance roles at Amersham plc and GE, having begun her career with BDO
Stoy Hayward.
Samy Zekhout brings extensive international experience in the consumer goods
and food sectors. Most recently, he served as CFO and Deputy CEO of Nomad
Foods, the European frozen food leader, listed on the NYSE. Prior to that, he
spent nearly 30 years at Procter & Gamble, including Senior executive
leadership roles in core global categories in Finance and General Management,
with assignments across Europe and North America.

6.4.8.
