Hilton Food Group plc (the "Company") 
 
Grant of Awards of Shares to Directors under the Hilton Food Group 
 
Long-Term Incentive Plan 2012 (the "Plan") - Amendment of performance
condition 
 
The Company announced on 29 April 2014 the grant of awards to Executive
Directors under the Plan and the performance conditions attaching to these
awards. The performance conditions have been amended so that the threshold
performance EPS growth for these awards is now 8% per annum where 25% of the
options will vest rising to EPS growth of at least 13% per annum where 100% of
the options will vest.
