Sub:    Disclosure under the Securities and Exchange Board of India (Listing
Obligations and Disclosure Requirements) Regulations, 2015 ("Listing
Regulations") - Annual Report and Business Responsibility & Sustainability
Report for FY 23.

 

Re:      Effectiveness of the composite scheme of amalgamation ("Scheme")
for the amalgamation of: (i) HDFC Investments Limited ("HDFC Investments"),
and HDFC Holdings Limited ("HDFC Holdings"), wholly owned subsidiaries of the
Housing Development Finance Corporation Limited ("Corporation"), with and into
the Corporation; and (ii) the Corporation, with and into HDFC Bank Limited
("HDFC Bank").

 

This is in connection with our letter dated April 04, 2022 informing about the
decision taken by the Board of Directors of the Corporation approving the
Scheme under Sections 230 to 232 of the Companies Act, 2013, and rules and
regulations thereunder, subject to receipt of various statutory and regulatory
approvals.

 

This is also in connection with our letter sent earlier today informing that
the board of directors of the Corporation at its meeting held today i.e., June
30, 2023 has inter alia noted that Saturday, July 1, 2023, to be the
'Effective Date' of the Scheme and accordingly the Corporation would be
dissolved without being wound up with effect from July 1, 2023.

 

In view of the above, the Corporation would not be able to convene an Annual
General Meeting of its Shareholders. However, from a good governance
perspective, we have prepared the 46(th) Annual Report of the Corporation in
respect of the financial year 2022-23 and Business Responsibility &
Sustainability Report for the said financial year.

 

Please find enclosed the said reports, which are also being uploaded on the
website of the Corporation for the information of all its shareholders as well
as general public.

 

 

We wish to once again thank all our shareholders for showing support and trust
to the Corporation over the last four and half decades.
