NOTIFICATION OF TRANSACTION IN SHARES BY A

PERSON DISCHARGING MANAGERIAL RESPONSIBILITIES

 

Grant of conditional share awards under the Howdens Long Term Incentive Plan
(LTIP)

 

The Company announces that on 17 December 2021 it granted the following
Performance Share Plan (PSP) award over ordinary shares of the Company to
Kirsty Homer, a Person Discharging Managerial Responsibilities ("PDMR"), under
the Company's 2019 Long Term Incentive Plan:

These awards will vest subject to performance against targets measured over a
three-year period. A further two-year holding period will then apply to any
shares Ms Homer is entitled to acquire on vesting.

notification is provided in accordance with the requirements of the UK Market
Abuse Regulation.
