REPLACEMENT RNS: 
 
The following amendment has been made to the 'Transaction In Own Shares'
announcement released on 8 August 2016 at 16:52 under RNS No 5896G: 
 
The correct average price paid per ordinary share of 10p each was 438.20p. 
 
All other details remain unchanged.

TRANSACTION IN OWN SHARES 
 
Howden Joinery Group Plc (the "Company") announces that on 8 August 2016 it
purchased through Numis Securities Ltd the following number of its ordinary
shares of 10p each ("Shares") for cancellation at an average price of 438.20p
per Share: 
 
 Number of Shares purchased and subsequently cancelled:  400,000  
 Highest purchase price paid per Share:                  440.00p  
 Lowest purchase price paid per Share:                   431.50p  
 
 
Following the above transaction, the Company holds 10,828,842 Shares in
treasury and 630,704,973 Shares in issue (excluding those held as treasury
shares). This figure (630,704,973) represents the total voting rights in the
Company and may be used by shareholders as the denominator for the
calculations by which they can determine if they are required to notify their
interest in, or a change to their interest in, the Company under the FCA's
Disclosure Guidance and Transparency Rules.
