VOTING RIGHTS AND CAPITAL

 

 

In accordance with the Disclosure Guidance and Transparency Rules of the FCA,
we would like to notify the following:

 

The Company's issued capital as at 31 October 2025 consisted of 542,528,855
ordinary shares of 10 pence each of which 2,479,691 ordinary shares were held
in Treasury(1).

 

Therefore, the total number of shares with full voting rights in the Company
at the above date was 540,049,164 and this figure may be used by shareholders
as the denominator for the calculations by which they will determine if they
are required to notify their interest in, or a change to their interest in,
the Company under the FCA's Disclosure Guidance and Transparency Rules.

 

(1) On 16 September 2025, the Company announced that it had transferred shares
from treasury pursuant to an employees' share scheme. Due to a transposition
error, the announcement stated that 354,243 shares had been transferred,
whereas the number of shares actually transferred was 345,243. The Compny has
corrected this error and the correction is reflected in the figures set out
above.
