HOWDEN JOINERY GROUP PLC

TRANSFER OF TREASURY SHARES
 
In accordance with Listing Rule 12.6.4, the Company announces that on 28 March 2018 the following ordinary shares were transferred from Treasury for the purposes of employees' share scheme allotments:
§ 682,300 ordinary shares at 10 pence per share
Following the above transfer of treasury shares, the Company's issued capital consisted of 626,092,755 ordinary shares of 10 pence each of which 6,738,280 ordinary shares were held in Treasury.
 
Therefore, the total number of shares with full voting rights in the Company at the above date was 619,354,475 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
