Voting Rights and Capital and DTR 6.4.2R
In accordance with the Disclosure and Transparency Rules of the FCA, we would like to notify the following:
The Company's issued capital as at 31 January 2016 consisted of 651,830,815 ordinary shares of 
10 pence each of which 9,152,000 ordinary shares were held in Treasury. 
Therefore the total number of shares with full voting rights in the Company at the above date was 642,678,815 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Howden Joinery Group Plc under the FCA's Disclosure and Transparency Rules. 
For the purposes of DTR 6.4.2, the Home State of the Company is the United Kingdom.
