("i3", "i3 Energy", "i3 Canada", or the "Company")

Warrant Exercise and Share Issuance

i3 Energy plc (AIM:I3E) (TSX:ITE), an independent oil and gas company with
assets and operations in the UK and Canada, announces that certain of its
loan noteholders have exercised warrants over 9,051,927 ordinary shares
("Ordinary Shares") in the Company. Application will be made for the Ordinary
Shares to be admitted to trading on AIM and are expected to be admitted on 28
April 2023.

The Ordinary Shares will rank pari passu with the existing Ordinary Shares,
including the right to receive all dividends and other distributions declared
after the date of issue.

Following Admission of the Ordinary Shares, the Company will have
1,201,899,967 Ordinary Shares with a nominal value of £0.0001 each.
Shareholders may use this figure of ordinary shares as the denominator by
which they are required to notify their interest in, or change their interest
in, the Company under the Disclosure Guidance and Transparency Rules.
