Issue of Ordinary Shares
 
The Company announces that it has issued and allotted 200,000 new ordinary shares of no par value ("Ordinary Shares") pursuant to the Company's 2024 share incentive plan (the "2024 Plan") to the employee stock ownership trust established by the Group, with IBI Trust Management acting as trustee ("ESOP s 102 Trust"). These new Ordinary Shares have been issued to the ESOP s 102 Trust for the benefit of certain employees of the Group, including certain person discharging managerial responsibilities ("PDMRs").



The below sets out the beneficial interests of the PDMRs following the issue and allotment of the new Ordinary Shares to the ESOP s 102 Trust:

Application will be made for the 200,000 new Ordinary Shares to be admitted to trading on the main market of the London Stock Exchange ("Admission"). It is anticipated that Admission will occur on or around 23 July 2026.
 
Following Admission, the share capital of the Company will consist of 22,706,817 Ordinary Shares, each with one vote per share. The Company does not hold any Ordinary Shares in treasury. Therefore, the total voting rights figure of 22,706,817 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
