("Ilika", the "Group" or the "Company")
Award of Share Options, Exercise of Options and Total Voting Rights
Ilika (AIM: IKA), a pioneer in solid-state battery technology, announces that
on 14 December 2023 it granted options to Executive Directors and employees
under the Long Term Incentive Plan approved by shareholders in 2018 ("LTIP")
and the EMI employee option scheme.
LTIP
Ilika awarded nominal value options under the LTIP over 633,673 ordinary
shares of 1p each in the Company ("Ordinary Shares") to two Executive
Directors and options over a further 20,000 Ordinary Shares to
employees. Each award vests on the achievement of certain performance targets
over a three-year period.
EMI option scheme
Ilika granted market value options over 2,090,950 ordinary shares of 1p each
in the Company ("Ordinary Shares") to an Executive Director and employees
under the Company EMI option scheme. EMI options vest on the achievement of
certain performance targets over a three-year period.
The awards are intended to align the incentives of the Executive Directors
and other senior employees with the Company's performance and outcomes for
shareholders over the long term and to provide effective and attractive levels
of reward, based on delivering strong performance in a fair and proportionate
manner.
In total, options over 2,744,623 Ordinary Shares have been granted
representing 1.7% of issued share capital.
Details of grants issued under the LTIP and EMI option scheme by each
Executive Director are set out in the table below, together with the total
number of Ordinary Shares each Executive Director holds under option and is
interested in.

Exercise of Options and Total Voting Rights
Ilika also announces that following the vesting of options under the
Company's EMI share option schemes, 75,000 options with an exercise price of
25.5p, have been converted into ordinary shares of one penny each in the
Company ("Ordinary Shares"). Accordingly, the Company has applied to the
London Stock Exchange for 75,000 Ordinary Shares to be admitted to trading on
AIM ("Admission"). It is expected that Admission will occur at 8.00am on 15
December 2023.
The options represent in aggregate 0.05 per cent of the Company's issued share
capital.
Total Voting Rights
Following Admission, the Company's issued share capital will comprise
158,975,667 ordinary shares of one penny each and that number may be used by
shareholders in the Company as the denominator for the calculations by which
they will determine if they are required to notify their interest in, or a
change in their interest in, the share capital of the Company under the FCA's
Disclosure Guidance and Transparency Rules. The Company does not hold any
shares in treasury.

Ilika specialises in the developing and commercialisation of solid state
batteries. The Company's mission is to rapidly develop leading-edge
IP, manufacture and license solid state batteries for markets that cannot be
