Imperial Tobacco Group Long Term Incentive Plan (LTIP)
In respect of the conditional award granted on 3 December 2012 under the Company's LTIP, following partial achievement of the performance criteria, none of the EPS element, approximately 65% of the TSR v FTSE 100 element and approximately 30% of the TSR v Comparator Group element have vested. Further details relating to the operation of the LTIP can be found within the Annual Report & Accounts available on the Company's website.
Vesting takes the form of the award over the Company's ordinary shares of 10 pence each (Shares) becoming exercisable, upon the payment of the notional exercise price, at any time until the seventh anniversary of the date on which the award became exercisable. Alternatively, in some jurisdictions, vesting takes the form of the granting of an option over the Company's Shares exercisable, upon the payment of the notional exercise price, at any time until the seventh anniversary of the date on which the option was granted.
