INDUCTION HEALTHCARE GROUP PLC ("Induction")

by

VITALHUB UK LIMITED ("Bidco")

(a direct subsidiary of VitalHub Corp.)

to be implemented by means of a court-sanctioned scheme of arrangement under

Part 26 of the Companies Act 2006

RESULTS OF COURT MEETING AND GENERAL MEETING

 

Introduction

On 10 April 2025, the boards of Induction and Bidco announced that they had
agreed the terms and conditions of a recommended cash acquisition pursuant to
which Bidco shall acquire the entire issued, and to be issued, ordinary share
capital of Induction (the "Acquisition"). The Acquisition will be implemented
by means of a court-sanctioned scheme of arrangement under Part 26 of the
Companies Act 2006 (the "Scheme").

On 17 April 2025, Induction published and posted a circular in relation to the
Scheme (the "Scheme Document") setting out, amongst other things, the full
terms and conditions of the Scheme, an explanatory statement pursuant to
section 897 of the Companies Act, an expected timetable of principal events,
notices of the Court Meeting and General Meeting and details of the actions to
be taken by Induction Shareholders.

Capitalised terms in this announcement shall, unless otherwise defined, have
the meanings set out in Part 8 (Definitions) of the Scheme Document.

Results of the Court Meeting and General Meeting

The board of Induction is pleased to announce that each of the resolutions
posed at the Court Meeting and the General Meeting held earlier today in
connection with the Acquisition were approved by the requisite majorities. In
particular:

·      the requisite majority of Scheme Shareholders voted in favour of
the resolution to approve the Scheme at the Court Meeting; and

·      the requisite majority of Induction Shareholders voted to pass
the Resolution at the General Meeting to approve the implementation of the
Scheme.

Details of the resolutions passed are set out in the notices of the Court
Meeting and the General Meeting at Parts 9 and 10 (respectively) contained in
the Scheme Document.

The number of Induction Shares in issue at 6.30 p.m. on 8 May 2025, being the
Voting Record Time, was 94,051,754.

Voting results of the Court Meeting

The table below sets out the results of the poll at the Court Meeting held on
12 May 2025. Each Scheme Shareholder present (in person or by proxy) was
entitled to one vote per Scheme Share held at the Voting Record Time.

Next Steps and Expected Timetable

The outcome of today's Court Meeting and General Meeting means Conditions
1.2.1 and 1.2.2 (as set out in Part 4 of the Scheme Document) have been
satisfied.

The Acquisition remains subject to the satisfaction or, where applicable,
waiver of the other Conditions as set out in Part 4 of the Scheme Document,
including: (i) approval from the Secretary of State being obtained in
connection with a mandatory notification required with regard to the
Acquisition under the NSIA; and (ii) the Court sanctioning the Scheme at the
Sanction Hearing. Subject to satisfaction (or waiver, where applicable) of the
Conditions, Induction expects the Scheme to become Effective before the end of
Q3 2025.

The current expected timetable of principal events for the implementation of
the Scheme is set out in the Scheme Document. The dates and times given are
indicative only and are subject to change. If any of the key dates set out in
the expected timetable change, notice of any such change will be made by the
issuance of an announcement through a Regulatory Information Service, with

local income tax laws. Each Induction Shareholder in the United States is
urged to consult their independent professional tax or legal adviser
immediately regarding the US federal, state and local income and non-income
tax consequences of the Acquisition applicable to them as well as any
consequences arising under the laws of any other taxing jurisdiction.

It may be difficult for Induction Shareholders in the United States to enforce
their rights and claims arising out of the US federal securities laws, since
Bidco and Induction are located in a country other than the US, and some or
all of their officers and directors are residents of countries other than the
US. Induction Shareholders in the United States may not be able to sue a
non-US company or its officers or directors in a non-US court for violations
of US securities laws. Further, it may be difficult to compel a non-US company
and its affiliates to subject themselves to a US court's judgement.
