Result of General Meeting

 

Ingenta plc (AIM: ING) a leading provider of software and services to the
global publishing industry, announces that at the General Meeting held
earlier today, the resolution was duly passed.

 

The total votes were cast as follows:

 

 Resolution        For           %      Against  %     Withheld
 1 (Tender Offer)  11,757,744    99.93  8,062    0.07  594

Note: A vote "Withheld" is not a vote in law and is not counted in the
calculation of the proportion of the votes "For" and "Against" shown.

 

Tender Offer

 

Further to the announcement and the Circular dated 25 October 2022, the last
time and date for receipt of Tender Forms or TTE Instructions from
Shareholders in respect of the Tender Offer is 1.00 p.m. today, 11 November
2022.

 

The results of the Tender Offer will be announced on 14 November 2022.

 

All references to time in this announcement are to UK time. Capitalised terms
in this announcement (unless otherwise defined) have the same meanings as set
out in the Circular.
