Results of the Board of Directors meeting of Inter RAO
Moscow, May 11, 2021 - Public Joint Stock Company "Inter RAO UES" ("Inter RAO", "Company", ticker on MOEX: IRAO), the largest diversified utilities holding in Russia, announces the results of the Board of Directors meeting of Inter RAO ("Board of Directors") held on May 11, 2021 by absentee voting.
The Board of Directors considered and adopted the following resolutions:
-     Consideration of the Directives:
1.1.     Take note of the Directives of the Government of the Russian Federation dated March 09, 2021 № 2010п-П13 "On the submission by joint-stock companies to Rosstat of information on the investment activities of the joint-stock companies and the organizations that are part of the enterprise groups with them, as well as information about the organizations that form such groups."
-     Early termination of powers of member of the Management Board:
2.1. To early terminate on May 12, 2021 powers of Member of the Management Board - Head of the Legal Affairs Division of Inter RAO Konstantinov Mikhail Vladimirovich.
2.2. To early terminate the employment contract with the Member of the Management Board - Head of the Legal Affairs Division Konstantinov Mikhail Vladimirovich on the terms and conditions in accordance with Annex No. 1.
2.3. Authorize the Member of the Board of Directors, CEO of Inter RAO Kovalchuk Boris Yuryevich to sign on behalf of the company the employment contract agreement on termination of employment relations with the Member of the Management Board - Head of the Legal Affairs Division Konstantinov Mikhail Vladimirovich.
