Results of the Board of Directors meeting of Inter RAO
Moscow, June 15, 2021 - Public Joint Stock Company "Inter RAO UES" ("Inter RAO", "Company", ticker on MOEX: IRAO), the largest diversified utilities holding in Russia, announces the results of the Board of Directors meeting of Inter RAO ("Board of Directors") held on June 15, 2021 by absentee voting.
The Board of Directors considered and adopted the following resolutions:
-     Consideration of the Directives:
1.1.     Pursuant to the Directives of the Government of the Russian Federation No. 3502p-P13 dated April 15, 2021, adopt decision in accordance with Annex No. 1.
1.2.     Pursuant to the Directives of the Government of the Russian Federation No. 3853p-P7 dated April 23, 2021 (hereinafter referred to as the Directive), adopt decision in accordance with Annex No. 2.
1.3.     Pursuant to the Directives of the Government of the Russian Federation No. 3438p-P13 dated April, 14 2021 and the letter of the Federal Property Management Agency dated April 22, 2021 No. 11/12979 (hereinafter also referred to as the Directives), adopt decision in accordance with Annex No. 3.
-     Approval of internal documents of Inter RAO:
2.1.     Approve the amended Regulation on the Procedure for Conducting Regulated Purchases of Goods, Works, and Services for the Needs of Inter RAO in accordance with Appendix No. 4.
2.2.     Approve the amended Risk Management and Internal Control Policy of PJSC Inter RAO (hereinafter referred to as the Policy) in accordance with Appendix No. 5.
-     Amendments to the Program of innovative development of Inter RAO for the period 2020-2024 with a perspective until 2029:
3.1.     Make amendments and additions to the Program of innovative development of Inter RAO for the period 2020-2024 with a perspective until 2029, approved on December 20, 2019 by the Board of Directors of Inter RAO (Minutes of dated December 23, 2019 No. 262), according to Appendix No. 6.
-     Сonsideration of the report of the Management Board of Inter RAO on the progress of construction of the Kaliningrad generation:
4.1.     Consider the report of the Management Board of Inter RAO on the implementation of the schedule for the design and construction of the Kaliningrad generation for the first quarter of 2021.
4.2.     In connection with the completion of the construction of the Pregolskaya TPP, Primorskaya TPP, Mayakovskaya TPP, and Balakovskaya TPP, consider the order given on the basis of the request of the Ministry of Energy of the Russian Federation No. VK-10567/09 dated October 04, 2016 to be fulfilled.
-     Amendments to the Work Plan of the Board of Directors of Inter RAO for 2020-2021:
5.1.     Approve the amendments to the Work Plan of the Board of Directors of Inter RAO for 2020-2021.
-     Approval of combining positions in management bodies of other organizations by the General Director or a member of the Management Board of Inter RAO:
6.1.     Approve the combination of the positions of Evgeny Miroshnichenko, Member of the Management Board and Head of the Financial and Economic Center of Inter RAO:
1) member of the Board of Directors of the Limited Liability Company "Tomsk-Razvitie" (LLC " Tomsk-Razvitie»);
2) a member of the Board of Directors of the Limited Liability Company "Inter RAO - EIRC" (LLC "Inter RAO - EIRC").
6.2.     Approve the combination of the positions of Dmitry Filatov, Member of the Management Board and Head of the Supply Division of Inter RAO:
1) member of the Board of Directors of the Limited Liability Company "Tomsk-Razvitie" (LLC " Tomsk-Razvitie»);
2) a member of the Board of Directors of the Limited Liability Company "Inter RAO - EIRC" (LLC "Inter RAO - EIRC").
