AGM Update Statement

 

In line with Provision 4 of the UK Corporate Governance Code, the Board has
released this statement to provide an update to shareholders on the actions
taken following the outcome of resolutions 2, 5 and 6 at the Company's 2025
Annual General Meeting (the "2025 AGM").

Resolutions 2, 5 and 6 - To approve the Remuneration Policy, Performance Share
Plan ("PSP") and Restricted Share Plan ("RSP")

Prior to the 2025 AGM, Nina Henderson, the Remuneration Committee Chair, and
Douglas Sutherland, the Chairman, held extensive consultations with
shareholders and proxy advisors regarding our proposed Remuneration Policy,
including the PSP and RSP components.

Whilst resolution 2 to approve the Remuneration Policy and resolutions 5 and 6
to approve the PSP and RSP were supported by a clear majority of the Company's
shareholders, we acknowledge the significant minority vote against.

It was notable that the number of shares voted at the 2025 AGM was
approximately 17% less than those voted at the 2023 Annual General Meeting.
This decrease correlates with a similar percentage of the Company's shares
outstanding at the 2025 AGM which did not vote because they are held through
swap structures, primarily by longer-term shareholders who are supportive of
the Remuneration Policy and related resolutions.

The majority approved new policy has been designed to ensure that the Company
is marketplace competitive to support attracting, retaining and rewarding the
leadership required to successfully execute its strategy. The discussions with
shareholders were reviewed post the 2025 AGM noting a clear focus on requiring
delivery of outstanding performance to justify the increased earning
opportunity. The new policy is being implemented with challenging stretch
targets that can only be met through delivering outstanding performance over
time and will significantly reward all shareholders if achieved.

The Remuneration Committee will continue to consult with shareholders, as
appropriate, in respect of the Company's ongoing remuneration practices.
