Notice of AGM & General Meeting of Short-Term Warrantholders

 

Invinity Energy Systems plc (AIM: IES) (AQSE: IES) (OTCQX: IESVF), a leading
global manufacturer of utility-grade energy storage, announces that the
Company's Annual General Meeting ("AGM") will be held at the offices of
Osborne Clarke LLP, One London Wall, London, EC2Y 5EB on Wednesday 31 August
2022 at 11.00 a.m.. In addition to the formal business of the AGM, management
will give a presentation and answer questions from shareholders, which can be
submitted in advance by emailing ir@invinity.com (mailto:ir@invinity.com) .

 

Immediately following the AGM, the Company will hold a meeting of the holders
of Short-Term Warrants ("Short-Term Warrantholders") (the "Warrant Meeting"
and, together with the AGM, the "Meetings"), at which a resolution will be
tabled to extend the period during which the Short-Term Warrants may be
exercised to 15 September 2023.

 

Following the Meetings, the Company intends to post the management
presentation, and a recording of the formal business of the Meetings on the
Investor section of Invinity's website

Voting

 

Shareholders and Short-Term Warrantholders are strongly encouraged to appoint
the Chairman of the Meetings as their proxy so that their vote will be counted
if ultimately they (or any other proxy they might otherwise appoint) are not
able to attend. Note that submitting a proxy will not preclude shareholders
and Short-Term Warrantholders from attending and voting at the Meetings in
person if they wish to do so.

 

Completed forms of proxy must be scanned and emailed to

(mailto:#UKCSBRS.ExternalProxyQueries@computershare.co.uk) or submitted via
post. Completed proxies must be received by the registrar no later than 11.00
a.m. on 26 August 2022 in respect of the AGM and 11.30 a.m. on 26 August 2022
in respect of the Warrant Meeting.

The Notices convening the Meetings, along with proxy form(s) for the purpose
of voting, will be posted today to shareholders and Short-Term Warrantholders
