Result of General Meeting

and

Total Voting Rights

 

Invinity Energy Systems plc (AIM: IES) (OTCQX: IESVF), a leading global
manufacturer of utility-grade energy storage, announces that all resolutions
were passed at the Company's General Meeting held today at 11.00 a.m. The
result of the poll voting (including all proxies) is detailed below.

*Any proxy appointments, which gave discretion to the Chairman, have been
included in the 'For' votes total.

 

Admission

Applications have been made to the London Stock Exchange for 128,205,128
Subscription Shares to be admitted to trading on AIM by 8.00 a.m. on 30
September 2025.

 

Upon Admission, the Enlarged Share Capital is expected to be up to 568,766,867
Ordinary Shares of £0.01 each with one vote per share. The above figure may
be used by shareholders in the Company as the denominator for the calculations
by which they will determine if they are required to notify their interest in,
or a change to their interest in, the share capital of the Company under the
FCA's Disclosure Guidance and Transparency Rules.

 

The gross proceeds of the Subscription, totalling £25 million, have now been
received by the Company and following Admission, will be available to the
Company.

 

Significant Shareholders

 

Following Admission, the Subscribers will have the following interests in the
Company

*Jonathan Keeling, the majority owner of Next Gen Mobility Limited, and
persons closely associated with him also hold 88,327 Ordinary Shares
representing 0.02% of the Issued Share Capital following Admission

The minority owner of Next Gen Mobility Limited is Artha Global Opportunities
Fund which currently has a direct holding in the Company of 22,428,676
Ordinary Shares representing 3.9% of the Issued Shares Capital following
Admission
