Appointment of Nominated Adviser and Sole Broker and

Issue of Shares and Total Voting Rights

 

Itsarm plc (the "Company") is pleased to announce the appointment of Zeus
Capital Limited as its Nominated Adviser and Sole Broker, with immediate
effect.

The Company also announces the issue of 1,630,612 ordinary shares of 0.25p
each in the Company ("Ordinary Shares") in lieu of payment of certain
creditors to conserve cash within the business.

The new Ordinary Shares will, when issued, rank pari passu in all respects
with the existing Ordinary Shares of the Company. Application will be made for
the 1,630,612 new Ordinary Shares to be admitted to trading on AIM and
dealings are expected to commence at 8:00 a.m. on 8 September 2023
("Admission").

Following Admission, the total number of voting rights in the Company will be
54,130,610. This figure may be used by shareholders as the denominator for the
calculations by which they can determine if they are required to notify their
interest in, or a change to their interest in, the Company.
