Highbury Finance B.V. (the "Issuer")

Notice to holders (the "Bondholders")

of the

£335,500,000 Secured 7.017 per cent. Bonds due 2023 (ISIN: XS0109320688) of
the Issuer (the "Bonds")

 

The Bonds are admitted to the official list of the London Stock Exchange and
to trading on its regulated market.

All defined terms used in this notice and not otherwise defined have the
meanings given to them in the offering circular of the Issuer dated 15 March
2000.

Pursuant to clause 4.1 of the Option Agreement to Purchase Property,
Purplewing Securities No.1 Limited and Purplewing Securities No.2 Limited, as
Property Nominees in respect of the Property Pool, granted to Sainsbury's
Supermarkets Ltd ("SSL"), in relation to each Property as defined in the
Option Agreement to Purchase Property, the option to purchase each such
Property on the terms set out in the Option Agreement to Purchase Property
(the "Option").

NOTICE IS HEREBY GIVEN to the Bondholders that pursuant to clause 5.1 of the
Option Agreement to Purchase Property, SSL has given written notice of the
exercise of the Option to purchase a certain number of the Properties, each
being a Property let to SSL pursuant to a Sub Lease as defined in the Option
Agreement to Purchase Property. It is currently expected that the aggregate
sale proceeds will exceed the amount due on redemption of the Bonds.
