J Sainsbury plc (the Company) announces the following awards made to Directors of the Company and Persons Discharging Managerial Responsibility (PDMRs) on 11 May 2017.

(1) The awards were granted over ordinary shares of 28 4/7 pence each in the Company (Shares).
(2) The awards are subject to performance conditions measured over three financial years. The awards will normally vest in two tranches, 50% after 3 years and 50% after 4 years, subject to the achievement of the performance conditions. 
(3) The awards for Michael Coupe, Kevin O'Byrne and John Rogers will normally be subject to an additional holding period meaning that any vested awards will be released five years after the date of grant. 
(4) A core award of Shares was granted on 11th May 2017. Should maximum vesting be achieved, participants would receive four times the number of Shares in the core award.
(5) Dividend equivalents may be delivered (either in cash or shares) in respect of dividends accrued on any shares which subsequently vest.
(6) The awards granted under the J Sainsbury plc Long Term Incentive Plan 2016.
