On 7 May 2020, the following Directors and Persons Discharging Managerial Responsibility (''PDMRs'') were granted awards under the J Sainsbury plc Long Term Incentive Plan 2016.  The awards were granted as nil-cost options over ordinary shares of 284/7 pence each in the Company ("Shares") as set out below:

(1)    The FBA are subject to performance conditions measured over three financial years. The FBA will normally vest in two tranches, 50% after 3 years and 50% after 4 years, subject to the achievement of the performance conditions.  
(2)    The FBA for Simon Roberts and Kevin O'Byrne is subject to an additional retention period meaning that any vested FBA will be released five years after the date of grant.  
(3)    The FBA for Simon Roberts reflects his appointment to Chief Executive Officer, effective 1 June 2020.
(4)    Should maximum vesting be achieved, participants would receive four times the number of Shares of their core award.
(5)    Dividend equivalents may be delivered (either in cash or Shares) in respect of dividends accrued on any Shares which subsequently vest.
(6)    The Remuneration Committee decided it is appropriate to use the month average Share price prior to the grant date to determine the number of Shares awarded. This compares to normally using the five dealing days average Share price prior to the grant date.

(1)    The DSA were granted based on performance during the 2019/20 financial year.
(2)    The DSA vest following a two-year deferral period. 
(3)    On leaving, the DSA for Mike Coupe will be pro-rated to reflect his period of employment during the deferral period. 
(4)    Dividend equivalents may be delivered (either in cash or Shares) in respect of dividends accrued on any Shares which subsequently vest.
(5)    The Remuneration Committee decided it is appropriate to use the month average Share price prior to the grant date to determine the number of Shares awarded. This compares to normally using the five dealing days average Share price prior to the grant date.
