Gwynt y Môr OFTO plc (the Issuer) makes this announcement in respect of £339,215,000 2.778 per cent. Secured Bonds due February 2034 (XS1175846580) (the "Bonds").
Capitalised terms used in this announcement and not defined have the meanings given to them in the prospectus (Prospectus) dated 13 February 2015 for the Bonds.
Further to the announcement of a STID Proposal on 24 September 2021, Moody's has announced that the Issuer's proposal to terminate its operation and maintenance (O&M) agreement with Balfour Beatty Utility Solutions Limited and to replace it with a new O&M agreement with EDS HV Management Limited would not, in and of itself and as of this time, result in the downgrade, placement on review for possible downgrade or withdrawal of the Baa1 rating on the Bonds.
