JAB gets $12.5 bln for perilous insurance push

DUBLIN, Aug 29 (Reuters Breakingviews) - One of the world's biggest private investment houses is about to have a giant chunk of cash burning a hole in its pocket. JAB, which primarily manages the fortune of Germany's uber-wealthy Reimann family, is in line for $12.5 billion from Keurig Dr Pepper's acquisition of JDE Peet’s JDEP.AS, announced on Monday. The money could turbocharge a push into the life insurance business, but it also increases the risk of overexpanding and overpaying.

JAB is best known for its giant bets on consumer companies. Its roughly $40 billion investment portfolio, as of the end of 2024, included bakery and café chains like Panera Bread, Au Bon Pain, Krispy Kreme and Pret a Manger, as well as a range of pet-care groups. That historic focus is shifting. JAB said on Monday that it would use the JDE Peet’s proceeds to power its new strategy, which involves expanding into insurance.

There's a clear appeal in offering life cover, annuities or managing pension plan assets for companies. These assorted businesses, which often confusingly get lumped under the broader "life insurance" moniker, typically have relatively cheap long-term liabilities, matching JAB's patient investment philosophy. This also helps explain why the likes of Apollo Global Management APO.N, KKR KKR.N and Brookfield have ploughed the same furrow in recent years. This crowding effect will make JAB's life harder. At least it has the right person in charge: Anant Bhalla, who is leading the push, previously ran annuity provider American Equity Investment Life before selling the company in 2023 to Brookfield Reinsurance, now called Brookfield Wealth Solutions BNT.N (BNT).

The problem for Bhalla is that competition is heating up. This year, he bought Prosperity Life, a U.S. firm which manages $25 billion worth of assets, for $3 billion, beating out TPG TPG.O. Still, JAB’s competitors have a massive lead, and arguably clearer advantages. Apollo’s annuity specialist Athene has $362 billion of gross invested assets, and benefits from its parent’s position as one of the world’s largest originators of credit investments. Brookfield is one of the world’s biggest infrastructure and real estate managers. It’s less clear where JAB’s investment edge lies in this context, given its historic focus on holding equity in consumer groups.

People familiar with the industry have also told Breakingviews that the remaining targets are not straightforward. Brighthouse Financial BHF.O is already in advanced sale talks with others, according to media reports. An alternative like $7 billion Jackson Financial JXN.N might make sense in theory, though its focus on variable annuities rather than the hotter area of fixed annuities may reduce the appeal. F&G Annuities & Life FG.N, worth $5 billion, seems more promising on that front. But it has a controlling shareholder in Fidelity National Financial FNF.N, according to LSEG data, as well as an existing partnership with Blackstone BX.N.

Amid this competition, the danger is JAB uses its extra cash to pay ever higher prices for the few assets that are available. If this happens, its chances of making decent returns will be diminished and it may rue the day it shifted away from coffee chains.
