Rule 19.6(c) confirmation in respect of post-offer intention statements with
regard to Hipgnosis Songs Fund Limited ("Hipgnosis")

Bidco announces that further to the completion of its acquisition of Hipgnosis
on 29 July 2024, which was effected by way of a Court-sanctioned scheme of
arrangement under Part VIII of the Companies (Guernsey) Law, 2008 (as
amended), Bidco has duly confirmed in writing to The Panel on Takeovers and
Mergers in accordance with the requirements of Rule 19.6(c) of the Code that
it has complied with its post-offer intention statements made pursuant to
Rules 2.7(c)(viii) and 24.2 of the Code, save as detailed in its announcement
on 30 May 2025 made pursuant to Rule 19.6(b) of the Code, as originally set
out in its announcements made under Rule 2.7 of the Code on 29 April 2024 and
3 June 2024 and in the scheme document published by Hipgnosis on 14 June 2024.
