 * Says company, the purchaser, the guarantor and the lender entered into the sale and purchase agreement on 4 January 
 * Deal for consideration of hk$2.38 billion 
 * Says group is expected to incur a gain on the disposal of approximately hk$172.5 million 
 * Purchaser agreed to purchase sale shares (being the entire issued share capital of the target) and shareholder's loan
