Notification and public disclosure of transactions

by Persons Discharging Managerial Responsibilities (“PDMRs”)

and persons closely associated with them

The Company announces the following transactions by Directors and PDMRs of the
Company in the Company’s ordinary 10p shares. All share sales were
transacted on 2 August 2016 at a sale price of £8.70 per share.

Mr James Hind has exercised an option over 26,534 shares at a total exercise
price of £1.  
He has simultaneously sold 12,515 shares to meet the tax and NI liability
arising on the option exercise.

Mr Mark Kliner has exercised an option over 10,753 shares at a total exercise
price of £1.  

Mr Venu Raju has exercised an option over 8,830 shares at a total exercise
price of £1. 
He has simultaneously sold 2,830 shares to meet the tax liability arising on
the option exercise.

Mr John Rubright has exercised an option over 8,323 shares at a total exercise
price of £1.  
He has simultaneously sold 2,627 shares to meet the tax and NI liability
arising on the option exercise.

Mr Michael Sinclair-Williams has exercised an option over 6,451 shares at a
total exercise price of £1.  He has simultaneously sold 3,043 shares to meet
the tax liability arising on the option exercise.

Dr Wolfgang Sondermann has exercised an option over 26,429 shares at a total
exercise price of £1.  He has simultaneously sold 11,429 shares to meet the
tax liability arising on the option exercise.

Changes in Interests

The beneficial interests of the above-named Directors and PDMRs in the issued
share capital of the Company following the above transactions are shown in the
table below:

The exercise of £1 per exercise options were satisfied by the transfer of
87,320 shares previously held in Treasury.  The issued share capital of the
Company is 73,099,735 ordinary shares, of which, after these exercises,
1,237,627 shares are held in Treasury.

The above named Directors and PDMRs notified the Company of their respective
interests in these shares on 2 August 2016.
