 * Co,loan association of Hazard, First Federal Savings Bank of Frankfort says Co withdrew application to merge 2 unitbanks 
 * After filing,regulators raised comments with respect to membership rights to be granted to depositors of surviving institution 
 * Management, boards of two unit banks determined costs, time of pursuing approval would not be justifiable at this time 
 * Following prefiling discussions with regulators, the company believed it 
   would be able to obtain regulatory approval"
